Terms of Service

Migaki is operated as an independent product brand at migaki.moe ("Migaki," "we," "us," or "our"). Payments, taxes, receipts, and billing support are provided by the Merchant of Record shown at checkout.

By accessing or using migaki.moe, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

1.1 Migaki provides a subscription SaaS for digital artists to upload their own 2D and stylized digital illustrations and receive automated post-production outputs, including detail cleanup, artifact removal, enhancement, and upscaling. You are responsible for the content you upload and generate.

1.2 Migaki is not a prompt-to-image generator, marketplace, face-swap tool, or likeness service. We do not produce realistic human imagery and we do not process real-person photographs.

1.3 We may modify, suspend, or discontinue any part of the Service at any time.

2. Eligibility

2.1 You must be at least 18 years old, or have your parent or guardian's permission where allowed by local law.

2.2 You must comply with all applicable laws in your jurisdiction.

3. Account

3.1 You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3.2 We may suspend or terminate your account at our discretion for violations of these Terms, applicable law, or our Acceptable Use Policy.

4. Content You Upload

4.1 You may upload only images you own, created yourself, licensed, or otherwise have permission to process. You are solely responsible for your uploaded content.

4.2 You are responsible for ensuring your use complies with our Acceptable Use Policy. You may not, in any case, use Migaki for realistic human likenesses without consent, child-safety violations, sexual content involving minors or characters who appear under 18, real-person sexual or intimate imagery, non-consensual intimate imagery, violence, harassment, hate or extremist content, copyright or trademark infringement, face swap, deepfake, impersonation, or identity deception. Migaki may refuse, limit, or remove content, or suspend accounts, at its sole discretion.

4.3 You retain ownership of images you upload. You grant us a limited, worldwide, royalty-free license to process your input to operate, provide, and improve the Service. We do not use your uploads to train or fine-tune AI models.

4.4 You own the enhanced output, subject to (a) you having legal rights to the original input, (b) your compliance with these Terms and the AUP, and (c) compliance with applicable law in your jurisdiction.

5. Subscriptions and Monthly Processing Allowance

5.1 Subscriptions are billed monthly and provide a monthly processing allowance according to the plan selected at checkout. Plan details, pricing, and allowance per cycle are listed on our Pricing page.

5.2 You may cancel your subscription at any time from your Migaki dashboard or through the Merchant of Record's customer portal. Cancellation stops future renewal charges and normally takes effect at the end of the current billing period.

5.3 Your monthly processing allowance is added to your account each billing cycle. The allowance has no cash value, is non-transferable, and cannot be redeemed, transferred, or withdrawn for cash or any other consideration. Unused allowance remains available while your subscription is active and is subject to fair-use limits described on the Pricing page. If your subscription is cancelled or lapses, remaining allowance may expire as described on the Pricing page or in your dashboard.

6. Payments — Merchant of Record

6.1 Payments for Migaki subscriptions are processed by the Merchant of Record or payment processor shown at checkout. That provider is responsible for collecting payment, applying applicable taxes where required, issuing receipts, and handling payment-related refund flows.

6.2 Your purchase is also subject to the buyer terms and privacy notice presented by the checkout provider. The checkout provider may provide buyer support, payment support, refund handling, and dispute resolution for transactions placed through its checkout.

6.3 Refunds and allowance corrections are governed by our Refund Policy.

7. Our Intellectual Property

7.1 The Migaki name, logo, design, software, models, processing systems, and trained components are our exclusive property. You may not reverse-engineer, decompile, redistribute, or attempt to extract our models or internal systems.

7.2 You may not use the Service to build, train, or improve a competing product.

8. Disclaimers

8.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

8.2 We do not guarantee that any particular image will produce a particular artistic result. Image post-production is inherently variable.

8.3 We do not guarantee uninterrupted Service. We may experience outages, latency, or processing failures.

9. Limitation of Liability

9.1 To the maximum extent permitted by law, Migaki shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data, arising from your use of the Service.

9.2 Our total liability for any claim arising from the Service is limited to the amount you paid us in the 3 months preceding the event, or USD $50, whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless Migaki from any claims, damages, losses, or expenses arising from (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) any content you upload or process through the Service.

11. Termination

11.1 We may suspend or terminate your access at any time, with or without cause, with or without notice, including for any violation of these Terms or the Acceptable Use Policy.

11.2 Upon termination, your right to use the Service ceases immediately. Sections 4, 7, 8, 9, 10, and 12 survive termination.

12. Changes to These Terms

We may update these Terms. Material changes will be communicated by email and by posting an updated effective date. Continued use after changes constitutes acceptance.
